بررسی حقوقی قراردادهای BOT و EPC در پروژه های راهسازی

چکیده

قراردادهای BOT و EPC اهمیت بسزایی در نزد متخصصان حقوق و اقتصاد یافته است. کشورهای مختلف بویژه کشورهای در حال توسعه،  این قراردادها را ابزاری کارآمد برای جذب سرمایه های خارجی و استفاده از مدیریت بخش خصوصی در طرح های زیربنایی می دانند. برای موفقیت دولت باید بستر مناسب اقتصادی، سیاسی و بویژه حقوقی را برای سرمایه گذار خصوصی فراهم سازد. تنها متن قانونی موجود در نظام حقوقی ایران که به این قرارداد پرداخته است، قانون تشویق وحمایت سرمایه گذاری خارجی است که البته درباره بسیاری از جنبه های بی.او. تی ساکت است. برخی از مقررات داخلی ایران در خصوص این قرارداد، با مقرراتی از سازمان تجارت جهانی، مغایرت داشته و باید اصلاح شوند. لذا در این مقاله به بررسی حقوقی دو قرارداد مذکور پرداخته شده است.که نتایج نشان می دهد به دلیل تنوع پروژه هایی که می توانند به این روش اجرا شوند و ویژگی های خاص هر یک به نظر می رسد لازم است نهادها و وزارتخانه های مختلف با رعایت این قانون اقدام به تهیه آیین نامه اجرایی آن با توجه به ویژگی پروژه ها در بخش مربوطه خود بنمایند.

BOT and EPC contracts are of great importance to law and economics professionals. Different countries, especially developing countries, regard these contracts as an effective tool for attracting foreign capital and using private sector management in infrastructure projects. For the success of the state, it must provide a suitable economic, political, and, in particular, legal environment for a private investor. The only legal text in the Iranian legal system that deals with this agreement is the Foreign Investment Promotion and Enforcement Act, which, of course, covers many aspects of BIS. T is silent. Some of Iran's internal regulations regarding this agreement are contrary to the WTO rules and need to be amended. Therefore, this article reviews the legal status of the two contracts. The results show that due to the variety of projects that can be implemented in this way and the specific features of each one, it is necessary for different institutions and ministries to Compliance with this law is to prepare its executive code according to the characteristics of projects in their respective sections.
